Definition of Words/Phrases Used In These Terms and Conditions

‘OBD’, ‘our’, ‘we’ and ‘us’ means On Board Defence Limited whose registered office is at Unit 3 Haslemere Way, Banbury, OX16 5TY.

‘OBD Installation Service’ means the services provided under these Terms and Conditions as specified in the ‘OBD Service Description’ below.

‘OBD Installation Technician’ means the person providing the OBD Installation Service for and on behalf of OBD.

‘You’ and ‘Your’ means the person who requests the provision of OBD Installation Service.

OBD Installation Service Description

What is included:

The supply of a security product and the labour required to fit the system to the Vehicle.

A warranty for the OBD Installation Service is included on all parts and labour provided in accordance with Section 4 of the General Terms of Contract (“Our Warranty”).

General Terms of Contract

  1.  General

1.1  The contract governed by these Terms and Conditions is made between You and OBD.

1.2  The OBD Installation Service is available Monday to Friday (excluding Bank Holidays) during normal working hours.

1.3  The location for the provision of the OBD Installation Service, as requested by You, must be approved by our Installation Partner and, once agreed, cannot be changed unless otherwise agreed by the parties. You must ensure that you have any necessary permissions from the owner or occupier of that location for the OBD Installation Service to be carried out there.

1.4  The parts which may be required to complete the OBD Installation Service for You are subject to availability and we shall inform You as soon as is reasonably possible if they are not available.

1.5  Where You are not the owner of the Vehicle:

  • a) by instructing us to carry out the OBD Installation Service in relation to the Vehicle You warrant to us that You are authorised by the owner and/or registered keeper of the Vehicle to do so; and
  • b) You agree to hold us harmless and make good any losses, costs or damages which we incur as a result of any claims against us by the owner or registered keeper of the Vehicle alleging that, or resulting from the fact that, You were not authorised to so instruct us and/or the provision by us of the OBD Installation Service under Your direction.
  1. Right to Cancel / Movement of Online Bookings and Purchases

2.1   You have the right to cancel any booking of installation without charge by contacting us no later than 1 working day prior to the day of installation (e.g. appointments for Thursday can be cancelled up to 5pm on Tuesday) up to 28 days following order conformation.

2.2   If you wish to cancel an OBD Installation Service appointment, please ring us our Installation Provider on 01675 624024 or email fleet@rsconnect.com. If, however, no installation booking has been made, please phone or email using the contact information available on our website.

2.3  If you cancel an order in accordance with Section 2.1, you will receive a full refund of the amount you paid. A charge of £75 + VAT will be deducted off any refund payable to You if You cancel without giving the required installation notice period outlined in Section 2.1. No refunds will be given for orders over 28 days old.

2.4   If with Your agreement, we deploy an OBD Installation Technician and provide the OBD Installation Service before the cancellation period ends under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 (the “Regulations”), then Your right to cancel will end as soon as we start to provide the OBD Installation Service.

2.5   Appointments can be rescheduled to an alternative date (subject to availability) provided one clear working day is allowed between rescheduling and the original appointment (e.g. appointments for Thursday can be rescheduled up to 5pm on Tuesday). If you wish to reschedule an OBD Installation Service appointment, please ring us our Installation Provider on 01675 624024 or email fleet@rsconnect.com

2.6   A charge of £50+VAT will be payable by You to OBD to reschedule installations if 1 full working days’ notice has not been given.

      1.    Extent of OBD Installation Service

3.1   We will carry out the OBD Installation Service described above under “What is included”. No other services are included

3.2   Installation is dependent upon there being no alteration to the OEM layout or configuration of the vehicle. If there has been any alteration that requires additional work for the installation, extra labour costs will be chargeable in addition to the standard installation fee. These costs will be advised to You and payable to OBD prior to the completion of the work.

      1.    Our Warranty

4.1. In addition to Your statutory rights as a consumer we agree to correct, free of charge, any defect in the Vehicle which is caused by our faulty workmanship in providing the OBD Installation Service and any defects in the parts provided that:

(i) the defect arises and is reported to us within 12 months of the completion of the installation;

(ii) You arrange for the Vehicle to be inspected by us as soon as reasonably practicable after discovering the defect and You take all reasonable steps to reduce any damage which the defect may cause. This warranty does not cover any damage caused by Your use of the Vehicle after discovery of the defect.

4.2    This warranty will not cover defects arising from normal wear and tear, wilful damage, negligence by You or any third parties, use otherwise than as recommended by us or the Vehicle manufacturer, failure to follow our or the Vehicle manufacturers instructions or any alteration carried out without our approval.

4.3    If we recommend work which You do not authorise us to do then this warranty will not cover any defect or damage arising as a result of this work not being done.

4.4   This warranty is strictly limited to our agreement to supply and fit the security system under the OBD Installation Service and we will not under this warranty accept charges for any repairs You have undertaken with other garages/repairers.

      1.    Right to refuse service

5.1   OBD has the right, at any time, to refuse to provide or arrange service of whatever nature where it reasonably considers that:

      1. )  You or anyone accompanying You, is behaving or has behaved in a threatening or abusive manner to OBD employees, agents, or to any third party contractor;
      2. )  You have falsely represented that You are entitled to services that You are not entitled to;
      3. )  You have assisted another person in accessing OBD services to which they are not entitled;
      4. )  You owe OBD money or have no ability to pay with respect to any services or other matters provided or to be provided by OBD or by a third party on OBD’s instruction;
      5. )  the circumstances surrounding the Vehicle, for example its location, are such that provision of the OBD Installation Service would involve any breach of the law or there is a reasonably foreseeable health and safety risk to a third party, an OBD employee or agent providing the OBD Installation Service and where there is the potential for harm or damage to the environment;
      6. )   the Vehicle is in a dangerous or un-roadworthy condition.
      1.    Matters outside OBD’s reasonable control

6.1   While OBD seeks to meet the service needs of it’s customers at all times, its resources are finite and this may not always be possible. We shall use all reasonable endeavours to complete the OBD Installation Service within the time estimates given to You. We shall inform You of any delay as soon as possible.

6.2   OBD shall not be liable for OBD Installation Service failure where OBD is faced with circumstances outside its reasonable control. Events which might constitute circumstances outside OBD’s reasonable control include (but are not limited to) acts of God, outbreak of hostilities, riot, civil disturbance, acts of terrorism, acts of government or authority (including the refusal or revocation of any licence or consent), fire, subsidence, explosion, flood, snow, fog or other bad weather conditions, vehicle, equipment or systems failures, shortages of fuel or other necessary supplies, failure of telecommunications lines or systems, default of suppliers or subcontractors, theft, malicious damage, strike, lock out or industrial action of any kind.

6.3   If weather conditions mean that either a) it is not safe for the OBD Installation Technician to complete the OBD Installation Service, or b) the OBD Installation Service could not reasonably be carried out to required standards, then OBD reserve the right to rearrange an appointment. In these situations You will be given as much notice as possible.

      1.    Exclusion of liability for loss of profit

7.1   OBD and its agents shall not, in any event, and to the maximum extent permitted by law, have any responsibility for any increased costs or expenses, for any loss of profit, business, contracts, revenue or anticipated savings or for any special, indirect or consequential losses incurred as a result of or in connection with the OBD Installation Service, whether resulting from tort (including negligence or breach of statutory duty), breach of agreement or otherwise.

      1.      Possible effects of OBD Installation Service on 3rd party warranties

8.1   If You have the benefit of a warranty in respect of the Vehicle from another company (e.g. a manufacturer’s warranty or another repairer’s warranty) the carrying out of the OBD Installation Service may affect your rights under that other warranty. You should check, and will be deemed to have checked, the terms of any such warranty You may have before instructing us to carry out OBD Installation Service. We and our agents will not be responsible for the effect of the work on any other warranty you may have.

8.2   For the avoidance of doubt, nothing in these Terms and Conditions shall exclude or restrict OBD’s liability for negligence resulting in death or personal injury, or any other liability that cannot be lawfully excluded or restricted.

      1. General Guarantee Conditions

9.1   The guarantees apply from the date of original purchase.

9.2   Guarantees are not transferable and only apply to the person who made the original purchase.

9.3   Please ensure you retain your invoice, as proof of purchase is necessary before work can be carried out under the guarantees.

9.4   All parts originally purchased from OBD are covered by these guarantees; however, parts failing as a result of criminal or malicious damage, fire, or theft are excluded.

9.5   If work is required to be carried out other than by OBD, approval must be obtained in advance from OBD Customer Service. The guarantee may be invalidated when parts are repaired by a garage or individual other than by OBD. OBD is not responsible for any part removed from the vehicle or adjusted by any person other than OBD.

9.6   These guarantees do not cover any defect caused by reasonable wear, tear or corrosion, or any costs incurred through loss of use. Manufacturer’s conditions of sale apply to all goods sold.

9.7   These guarantees do not extend to any monetary or compensatory claim, in particular consequential or additional losses.

9.8   All OBD guarantees are in addition to your statutory rights.

10.1 Contact OBD in writing (see our Details), with copies of your original receipt and any other paperwork provided to you. Please be sure to keep your original paperwork safe as a failure to produce this could affect Your ability to claim.

      1.  Enforcement of Terms and Conditions

11.1 Failure to enforce or non-reliance on any of these Terms and Conditions by OBD on a particular occasion or occasions will not prevent OBD from subsequently relying on or enforcing them.

11.2 None of these Terms and Conditions are enforceable by anyone else other than You and OBD. For the avoidance of doubt, and without limitation to the generality of the foregoing, any rights under The Contracts (Rights of Third Parties) Act 1999, or any replacement thereof, are hereby excluded.

      1. Law and jurisdiction

12.1 The headings used in these Terms and Conditions are for convenience only and shall not affect the interpretation of their contents.

12.2 These Terms and Conditions, and any agreement entered into in connection with the same, shall be interpreted in accordance with the laws of England and Wales and subject to the non-exclusive jurisdiction of the courts of England and Wales.
